1. Overview

Welcome to TwoTicks — a digital platform operated by Dimension Seven Technologies Ltd that provides access to automated trading tools, market analysis systems, and related subscription-based services (“Services”). By accessing or using TwoTicks or any related websites, dashboards, APIs, or communication channels (collectively, the “Platform”), you agree to comply with and be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not use the Platform or any Services. These Terms apply to all users, including individuals, businesses, affiliates, and any other persons accessing or using the Platform.

2. Nature of Services

TwoTicks provides access to digital trading tools, signal-based automation, and performance-tracking utilities. We are not a financial institution, broker, exchange, or investment adviser. Our Services are for informational and educational purposes only and are intended to help users automate their own trading activities on supported third-party exchanges. You remain solely responsible for all trading decisions, risk management, and exchange accounts connected through the Platform.

3. Eligibility

By agreeing to these Terms, you confirm that you are at least 18 years of age or the legal age of majority in your jurisdiction, have the legal authority to enter into these Terms, and are not prohibited from using the Services under applicable law or sanctions regulations. If you are using the Services on behalf of a company or other entity, you represent that you are authorised to bind that entity to these Terms.

4. Account Registration

You must create an account to access certain features of the Platform. You agree to provide accurate, current, and complete information during registration and to keep that information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account. 5. Subscription Plans and Billing

TwoTicks operates on a subscription basis via Stripe. Available membership tiers may include but are not limited to Savings, Bronze, Silver, Gold, and Platinum, each offering different features and levels of access.

• Billing: Charges are applied automatically in advance (monthly or annually, as selected).
• Renewals: Subscriptions renew automatically unless cancelled before the next billing date.
• Cancellations: You may cancel your subscription at any time via your account dashboard or by contacting support.
• Refunds: Unless otherwise required by law, all fees are non-refundable once a billing period has begun, as access to Services is immediate.
• Payment Processing: Payments are securely processed by Stripe. We do not store full card details on our servers.

6. Risk Disclosure and No Financial Advice

Trading digital assets and currencies involves significant risk, including the possible loss of all invested capital. You acknowledge and agree that:

• all trading is speculative and can result in substantial losses;
• past performance is not indicative of future results;
• TwoTicks and Dimension Seven do not provide investment advice, financial guidance, or personalised recommendations;
• any strategies, bots, or signals provided through the Platform are tools only, not instructions to buy, sell, or hold any asset; and
• you are solely responsible for evaluating the suitability and risk of any trades you execute.

7. Automated Systems and Third-Party Exchanges

TwoTicks may connect to third-party exchanges or trading platforms via APIs. You authorise TwoTicks to transmit orders, positions, or other data to such exchanges only as configured by you. You remain responsible for maintaining the security of your API keys and verifying that your connected exchange accounts comply with all applicable laws. Dimension Seven is not affiliated with or responsible for the operation, downtime, or security of any third-party exchange or service. TwoTicks provides user-authorised, signal-based automation of trading activity via third-party exchanges. All trades are executed by the user’s own exchange account under their control.

8. Platform Use and Conduct

You agree not to:

• use the Platform or any Service for any unlawful or unauthorised purpose;
• transmit malware, spam, or harmful code;
• attempt to gain unauthorised access to any system;
• reverse engineer, copy, resell, or exploit the Service; or
• interfere with other users’ access or the Platform’s functionality.

We reserve the right to suspend or terminate any account that violates these Terms or applicable law.

9. Intellectual Property

All intellectual property rights in the Platform, including but not limited to text, code, software, graphics, design, logos, and trademarks, are owned by or licensed to Dimension Seven. You are granted a limited, non-exclusive, revocable licence to access and use the Platform solely for lawful personal or internal business purposes. No part of the Platform may be reproduced, modified, or distributed without our prior written consent.

10. Service Availability and Modifications

We strive to maintain uninterrupted access to the Platform but do not guarantee continuous or error-free operation. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, without notice, for maintenance, improvement, or other business reasons. Dimension Seven will not be liable for any loss or damages arising from such interruptions or modifications.

11. Data and Privacy

We handle all personal data in accordance with the Dimension Seven Privacy Policy, available at https://dimension7.ai/legal/privacy. By using the Platform, you consent to our data practices as described in that policy.

12. Limitation of Liability

To the maximum extent permitted by law, Dimension Seven and its directors, officers, employees, and affiliates shall not be liable for any direct, indirect, incidental, consequential, or punitive damages, including loss of profit, data, or goodwill, arising from or in connection with the use of the Platform or Services. Our total liability for any claim shall not exceed the total amount paid by you to Dimension Seven in the three months preceding the claim. Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under UK law.

13. Indemnification

You agree to indemnify and hold harmless Dimension Seven, its officers, directors, affiliates, and employees from any claim, loss, or demand (including legal fees) arising out of:

• your use of the Platform or Services;
• your violation of these Terms; or
• your infringement of any third-party rights or laws.

14. Termination

We may suspend or terminate your account immediately if you breach these Terms or misuse the Service. Upon termination, all rights granted to you under these Terms will cease, but your obligations (including payment of any due fees) will survive. You may terminate your account at any time by ceasing use and contacting us to close it. Termination does not entitle you to a refund of fees already paid.

15. Compliance and MiCAR Alignment

TwoTicks operates as a software and technology provider. We do not hold client funds or digital assets; we do not offer portfolio management or execution services; and we do not guarantee investment returns. We comply with applicable UK law and aim to align with the principles of the EU Markets in Crypto-Assets Regulation (MiCAR) for responsible software and disclosure practices. Users are responsible for ensuring that their use of TwoTicks complies with local laws, including licensing or registration requirements in their jurisdiction.

16. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

17. Changes to These Terms

We may update or modify these Terms at any time by posting the revised version on our website. The “Last Updated” date at the top will indicate the effective date of changes. Your continued use of the Platform after changes are published constitutes your acceptance of the revised Terms.
